Terms of Service

1. Agreement to Terms

By engaging inoz.ai (“we”, “us”, “our”) to provide technology services, you (“Client”, “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, please do not engage our services. These terms constitute a legally binding agreement between you and inoz.ai.

2. Description of Services

inoz.ai provides custom technology services including, but not limited to, web application development, mobile application development, artificial intelligence and machine learning solutions, cloud infrastructure design, and DevOps consulting. The specific scope of services for each engagement is defined in a separate Statement of Work or project agreement agreed upon by both parties.

3. Client Obligations

To enable us to deliver services effectively, you agree to:

  • Provide timely, accurate, and complete information, content, and feedback as required throughout the project.
  • Designate a primary point of contact with authority to make decisions on your behalf.
  • Respond to requests for feedback, approvals, or clarifications within agreed timeframes.
  • Ensure you have the right to provide any materials, data, or third-party integrations you supply to us.
  • Promptly notify us of any changes to your requirements or circumstances that may affect the project.

Delays caused by failure to meet these obligations may result in timeline extensions and additional costs, for which inoz.ai will not be liable.

4. Intellectual Property

Upon receipt of full payment for services rendered, you will own all custom work product created specifically for you under the project. This includes source code, designs, and documentation produced exclusively for your project.

inoz.ai retains ownership of pre-existing tools, libraries, frameworks, methodologies, and any general-purpose components developed independently of your project. Where such components are incorporated into your deliverables, we grant you a perpetual, non-exclusive licence to use them as part of the delivered work.

We reserve the right to display your project in our portfolio and case studies unless you expressly request otherwise in writing.

5. Payment Terms

Payment terms are set out in your individual project agreement or Statement of Work. Unless otherwise agreed:

  • Invoices are due within 14 days of the invoice date.
  • Fixed-price projects require a deposit (typically 30–50%) before work commences.
  • Retainer arrangements are invoiced monthly in advance and are non-refundable for unused hours within a billing period unless otherwise agreed.
  • Late payments may incur interest at 2% per month on the outstanding balance.

We reserve the right to pause or suspend work on projects where invoices are outstanding beyond 30 days.

6. Limitation of Liability

To the maximum extent permitted by applicable law, inoz.ai's total liability to you for any claim arising out of or in connection with these terms or our services shall not exceed the total fees paid by you for the specific services giving rise to the claim in the three months preceding the event.

We shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement (“Confidential Information”). Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.

8. Termination

Either party may terminate the engagement with 14 days' written notice. Upon termination:

  • You will be invoiced for all work completed to date, including any non-cancellable third-party costs incurred on your behalf.
  • We will deliver all completed work product upon receipt of outstanding payments.
  • Work in progress will be delivered in its current state; no warranties apply to incomplete deliverables.

We reserve the right to terminate immediately if you breach these terms or engage in conduct that is unlawful, harmful, or damaging to inoz.ai's reputation.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

10. Changes to Terms

We may update these Terms of Service from time to time. The current version will always be available at inoz.ai/terms. Continued engagement with our services after changes are published constitutes your acceptance of the updated terms. Material changes affecting existing engagements will be communicated to affected clients directly.
